1. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use Digilancer. By registering, you represent that the information you provide is accurate and complete.

2. Our Platform

Digilancer is a global online marketplace that connects businesses with independent freelancers and agencies. Digilancer provides technology, communication tools, and optional payment services, but is not an employer, employment agency, or party to contracts between clients and freelancers.

3. User Accounts

You are responsible for maintaining the security of your account and password. You agree not to share your login credentials and to notify us immediately of any unauthorized use of your account.

4. Marketplace Services

Freelancers are responsible for accurately describing their services and delivering work as agreed. Clients are responsible for providing accurate project requirements and paying agreed fees. Digilancer does not guarantee the quality, completion, or outcome of any project.

5. Payments

Clients may choose to:

• Pay freelancers directly using an external payment method, or
• Use Digilancer Secure Payments, where available, which may include escrow protection and dispute resolution.

Applicable service fees will be clearly disclosed before payment.

6. Subscription Plans

Certain freelancer features require a paid subscription. Subscription fees are billed in advance and automatically renew unless cancelled before the next billing cycle.

7. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations.
• Post false, misleading, or fraudulent information.
• Infringe the intellectual property rights of others.
• Upload malicious software or attempt to disrupt the Platform.
• Harass, threaten, or abuse other users.
• Circumvent Digilancer's security or payment systems.

Digilancer reserves the right to suspend or terminate accounts that violate these Terms.

8. Intellectual Property

Users retain ownership of the content they create and upload. By using the Platform, you grant Digilancer a non-exclusive, worldwide license to display your content solely for operating and promoting the Platform.

The Digilancer name, logo, trademarks, software, and website content remain the property of Digilancer and may not be copied or used without written permission.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy and SMS & Communication Policy.

10. Communications

By creating an account and providing your contact information, you agree to receive transactional communications regarding your account, projects, payments, security, and customer support.

Where you have provided separate consent, you may also receive promotional emails and SMS messages. You may opt out of marketing communications at any time. Reply STOP to unsubscribe from SMS messages and HELP for assistance. Message frequency varies. Message and data rates may apply.

11. Account Suspension

Digilancer may suspend or terminate any account that violates these Terms, engages in fraudulent activity, or poses a risk to the Platform or its users.

12. Disclaimer

The Platform is provided on an "as is" and "as available" basis. Digilancer makes no warranties regarding uninterrupted service, accuracy, reliability, or the outcome of transactions between users.

13. Limitation of Liability

To the fullest extent permitted by law, Digilancer shall not be liable for indirect, incidental, consequential, or special damages arising from your use of the Platform.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by the laws applicable to Digilancer's operating entity, without regard to conflict of law principles.
