Job Description

Overview

Energy Vault is seeking a Senior Counsel for Project Finance & Commercial with extensive experience in project finance. The role involves leading the financing of renewable energy and infrastructure projects while engaging with lenders and internal teams in a fast-paced environment.

Key responsibilities

  • Lead end-to-end legal structuring and negotiation of project finance transactions.
  • Draft and negotiate credit agreements, security packages, and related financing documents.
  • Advise on financing structures for build-own-operate assets and manage lender due diligence processes.
  • Support corporate-level debt facilities and advise on entity structuring for subsidiaries.
  • Assist with governance matters related to financing transactions.
  • Provide commercial support for EPC contracts, procurement agreements, and PPAs.

Required skills

  • J.D. from an accredited law school.
  • Member of a state bar in good standing.
  • 8–15 years of project finance experience, especially in energy, battery storage, or infrastructure.
  • Track record of closing complex project finance transactions including tax equity structures.
  • Working knowledge of IRA incentive structures and compliance requirements.
  • Excellent drafting and negotiation skills.
  • Proven ability to manage a high-volume workload.
  • Willingness to travel domestically and internationally, up to 10%.
