Overview

Our client, a global AmLaw 50 law firm, is seeking a mid to senior-level Associate Attorney specializing in Private Equity and M&A to join their corporate practice in New York. The role involves working with premier private equity sponsors and institutional investors on high-value transactions in a collaborative environment.

Key responsibilities

  • Represent private equity sponsors, institutional investors, and portfolio companies across the full investment life cycle
  • Advise on fund investments, platform acquisitions, add-on acquisitions, and exit transactions
  • Draft and negotiate purchase agreements, merger agreements, equity documentation, and ancillary deal materials
  • Assist portfolio companies with add-on acquisitions, joint ventures, and public and private financings
  • Collaborate with cross-functional teams across tax, finance, and regulatory practices to deliver seamless solutions
  • Conduct due diligence and oversee process management across all deal phases
  • Coordinate with subject-matter experts to address transaction-related issues
  • Support senior attorneys and clients in structuring, negotiating, and executing strategic transactions
  • Maintain and strengthen client relationships through responsive service

Required skills

  • JD from a top-tier law school
  • Active Bar Admission in relevant jurisdiction
  • 3-8 years of experience in private equity and M&A transactions
  • Experience with private equity sponsor-side transactions
  • Large law firm experience preferred
  • Excellent drafting skills and sound commercial judgment
  • Ability to manage complex workflows in fast-paced environments
  • Experience as a key member of deal teams from due diligence to closing
