ASSOCIATE ATTORNEY MERGERS & ACQUISITIONS Mergers & Acquisitions/Corporate Finance Practice Group Location :Atlanta, GA HYBRID Our client, a nationally recognized AmLaw 100 law firm, is seeking a highly motivated mid-level Associate Attorney to join its Mergers & Acquisitions and Corporate Finance practice in Atlanta. This is an exceptional opportunity to work within a sophisticated, fast-paced transactional group that handles complex domestic and cross-border M&A matters, with a strong emphasis on private equity transactions and private-company acquisitions. Candidate Profile JD from a top-tier law school with an e xcellent academic record Active Bar Admission in Georgia, in good standing 46 years of substantive experience handling mergers and acquisitions and complex corporate transactionsSophisticated law firm experience advising on complex M&A and corporate finance mattersStrong experience managing private equity transactions and private-target M&AProven ability to manage complex deal timelines, coordinate with subject matter experts and junior team members, and oversee transaction workflows from diligence through closingExperience drafting and negotiating equity and asset purchase agreements, disclosure schedules, and ancillary transaction documentsExtensive experience conducting, analyzing, and summarizing legal due diligenceExceptional attention to detail and the ability to interact effectively with clients, investment bankers, and other external advisorsExcellent written and oral communication skills, strong analytical abilities, and the capacity to distill complex legal issues into practical, actionable adviceDemonstrated ownership mentality, strong work ethic, and the ability to manage multiple priorities in a demanding environment Key Responsibilities Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions, with a focus on private equity-sponsored dealsManage all phases of M&A transactions, including structuring, diligence, drafting, negotiation, and closingDraft and negotiate purchase agreements, ancillary agreements, and transaction documentationLead and coordinate legal due diligence efforts, including supervising junior attorneys and synthesizing findings for clientsServe as a key point of contact for clients and external advisors throughout the transaction lifecycleCollaborate with attorneys across corporate, tax, finance, and regulatory disciplines to deliver integrated legal solutions Why Join Us?
