Job Description

Overview

As the Corporate Paralegal at New River Electrical Corporation, you will play a crucial role in the Legal and Compliance Department by providing support in corporate governance, compliance, litigation, and transactional matters. Reporting to the Vice President, General Counsel or the Associate General Counsel, this on-site position involves collaborating with various stakeholders to ensure effective legal and compliance operations.

Key responsibilities

  • Support corporate governance functions, including entity management and recordkeeping.
  • Assist with ESOP administration and related reporting.
  • Help with mergers and acquisitions, including document collection and due diligence.
  • Assist with financing transactions, including document preparation and coordination.
  • Aid in claims and litigation management, and coordinate with outside counsel.
  • Draft and prepare legal documents, including contracts and compliance reports.
  • Conduct legal research on relevant statutes and regulations.
  • Manage state licensing and business registrations across jurisdictions.
  • Develop legal and compliance training content in collaboration with senior counsel.

Required skills

  • Associate's degree required; Bachelor's degree or Paralegal Certificate preferred.
  • Minimum of 3 years of paralegal experience.
  • Experience in legal operations, corporate governance, or compliance preferred.
  • Familiarity with corporate governance and business licensing requirements.
  • Experience with ESOP administration, financing transactions, or mergers and acquisitions is a plus.
  • Strong organizational and project management skills.
  • Proficiency in Microsoft Office Suite and legal technology platforms.
  • High ethical standards and professional integrity.
