Job DescriptionJob Description Corporate Associate - M&A / Private Equity Multiple LocationsDirect Counsel is representing an AmLaw 100 firm seeking a Corporate Associate with 4+ years of experience to join its sophisticated Private Equity M&A practice. This is an excellent opportunity to take meaningful ownership of transactions from inception through closing while working with sophisticated clients and deal teams.Key Responsibilities Draft, review, and negotiate acquisition agreements, equity documents, and ancillary transaction documents.Manage due diligence, identify key issues, and incorporate findings into deal strategy and documentation.Support portfolio companies with add-on acquisitions, dispositions, financings, and general corporate matters.Drive deal execution and closings while managing aggressive timelines.Collaborate with tax, finance, benefits, real estate, IP, and litigation specialists.Mentor and supervise junior associates.Qualifications 4+ years of Private Equity and M&A experience, preferably at a large or sophisticated law firm.Experience managing significant transaction workstreams from inception through closing.Strong drafting, negotiation, analytical, and communication skills.Comfortable working directly with clients and financial sponsors.Strong academic credentials and JD required.Must be admitted in the jurisdiction where you will practice.Locations New York, NY Boston, MA Miami, FL Chicago, IL Dallas, TXCompensation $235,000 - $455,000, depending on class year and experience, plus bonus and comprehensive benefits.
