Overview

A.O. Smith is seeking an experienced corporate attorney for the role of Assistant General Counsel, Corporate & Securities. Located in Milwaukee, Wisconsin, the successful candidate will manage various legal aspects including securities compliance, corporate governance, and M&A transactions, while supporting the company's strategic legal needs.

Key responsibilities

  • Manage legal aspects of all SEC filings and ensure compliance with NYSE listing standards
  • Advise on board and committee matters, maintain corporate records, and help draft the annual proxy statement
  • Develop and maintain disclosure controls in partnership with Finance and Investor Relations
  • Oversee insider trading policies and trading windows
  • Support the annual stockholder meeting and manage shareholder proposals
  • Provide legal support for mergers, acquisitions, and other corporate transactions
  • Lead legal due diligence and analyze risks related to compliance and liabilities
  • Draft, review, and negotiate transaction documents
  • Help design and maintain enterprise-wide risk management frameworks
  • Ensure compliance with all applicable laws and regulations
  • Manage external legal counsel and budgets

Required skills

  • Juris Doctor degree
  • 7-10 years of experience as a securities and corporate transactions attorney
  • Integrity and ethical business conduct
  • Strong business acumen and pragmatic results-oriented approach
  • In-house legal experience preferred
  • Ability to communicate legal challenges to various audiences
  • Team player with a collaborative demeanor
  • Willingness to travel globally as needed
