Overview

A.O. Smith is seeking an experienced corporate attorney to join their Legal Department as Assistant General Counsel, Corporate & Securities in Milwaukee, Wisconsin. This role focuses on securities and regulatory compliance, corporate governance, M&A transactions, and legal aspects of corporate operations.

Key responsibilities

  • Manage legal aspects of all SEC filings and ensure compliance with NYSE listing standards.
  • Advise on board and committee matters and prepare board materials.
  • Develop and maintain disclosure controls and procedures.
  • Oversee insider trading policies and trading windows.
  • Support annual stockholder meetings and manage shareholder proposals.
  • Provide legal support for mergers, acquisitions, and capital markets activities.
  • Lead legal due diligence and analyze risks related to legal and regulatory issues.
  • Draft, review, and negotiate transaction documents.
  • Help design and maintain enterprise-wide risk management frameworks.
  • Ensure compliance with applicable laws and regulations.
  • Manage external legal counsel and budgets.

Required skills

  • Juris Doctor degree
  • 7-10 years of experience in securities and corporate transactions
  • Experience advising global, publicly-traded manufacturing companies
  • Strong business acumen and ethical standards
  • In-house legal experience preferred
  • Ability to communicate legal challenges in lay terms
  • Willingness to travel as needed
